Service Agreement — Draft

BROKI VEHICLE NEGOTIATION SERVICE AGREEMENT

DRAFT — PENDING FLORIDA LEGAL REVIEW

1. Scope of Services

BROKI provides vehicle research, price comparison, and negotiation assistance on behalf of clients seeking to purchase a vehicle. BROKI does not take ownership of the vehicle and does not independently sell, finance, or guarantee the delivery of any vehicle. All vehicle purchases are completed directly between the Client and the dealership.

2. Initial Service

Vehicle research and initial price negotiation are provided without an upfront service fee. The Client is not obligated to accept any offer presented by BROKI.

3. Reference Price

The reference price shall generally be the manufacturer's suggested retail price (MSRP) for the specific vehicle. If the Client provides a valid, current, and independently verifiable competing offer, that offer may be accepted as the reference price before negotiation begins. The applicable reference price must be documented and agreed upon before calculating BROKI's service fee.

4. Negotiated Price and Savings

Verified savings shall equal the difference between the agreed reference price and the documented negotiated vehicle price. Mandatory dealership charges affecting the effective vehicle selling price must be included in the comparison. Government taxes, registration charges, and other separately identified statutory fees shall be disclosed separately. Financing terms, trade-in values, and conditional incentives shall not be used to artificially increase claimed savings.

5. Service Fee

Upon the Client's acceptance of a qualifying negotiated vehicle offer, BROKI's proposed service fee shall equal thirty percent (30%) of the verified negotiated savings. The remaining seventy percent (70%) represents the Client's savings relative to the agreed reference price, before any other applicable purchase expenses. No service fee shall apply to an offer the Client declines. The exact service fee must be disclosed before the Client signs the offer acceptance and authorizes payment.

6. Offer Acceptance

The Client shall receive a written offer summary identifying the vehicle, reference price, negotiated price, verified savings, service fee, and applicable purchase conditions. Acceptance of the offer and authorization of payment shall occur through an electronic process that records the Client's affirmative consent.

7. Payment

Subject to applicable law and payment-provider approval, the service fee shall be payable upon the Client's express acceptance of the documented negotiated offer. Payment shall be processed through a secure third-party payment provider.

8. Refunds and Cancellations

If BROKI or the dealership cannot make the documented negotiated offer available to the Client under the agreed conditions, the Client shall be entitled to a refund of the BROKI service fee. If the Client voluntarily declines to complete the purchase after accepting an offer that BROKI has fully performed and that remains available under the agreed conditions, the service fee is proposed to be non-refundable, to the extent permitted by applicable law. Financing contingencies, dealer nonperformance, unavailable vehicles, and other material transaction changes shall be addressed in the applicable offer acceptance and refund terms.

9. Trade-In Exclusion

Any trade-in transaction, including appraisal, equity, and outstanding loan balances, shall be handled directly between the Client and the dealership. Trade-in values shall not affect BROKI's service fee calculation.

10. Protection of Negotiated Offers

If the Client completes a purchase using a specific negotiated offer documented and delivered by BROKI within fourteen (14) calendar days after delivery, the parties intend that the agreed service fee remain payable, subject to applicable law and the other terms of this Agreement. The provision shall apply only to the identifiable vehicle and offer negotiated by BROKI. This clause does not establish that the dealership must honor an expired offer.

11. Electronic Signatures

The parties may agree to conduct the transaction electronically, subject to applicable law. The platform shall retain records of the Client's consent, offer acceptance, applicable contract version, and payment authorization.

12. Legal Review

This Agreement is a preliminary commercial draft. Its terms are subject to review for compliance with Florida law, including any applicable motor vehicle brokerage, consumer protection, licensing, and payment-processing requirements.
